WilmerHale Advises Harmonix Music Systems in Acquisition by Epic Games

On November 23, 2021, Harmonix Music Systems, Inc., the Boston-based video game developer which created the Rock Band and Dance Central franchises, announced that it has been acquired by Epic Games, Inc., an American video game developer and publisher based in Cary, North Carolina known best for its game Fortnite. Epic acquired Harmonix to help them transform the way that video game players experience music, helping them move from passive listeners to active participants. The transaction included a mix of cash and Epic stock. The WilmerHale team advising Harmonix was led by Jeff Stein and included Jon Jones, Jenna El-Fakih and Milan Kumar on the corporate side, Julie Hogan-Rodgers, Ben Kelsey and Gavin Tullis in the tax group, Amy Null and Scott Kilgore on benefits matters, Jon Rosenfeld for employment, Kirk Nahra and Ali Jessani on privacy matters, and John Hobgood and Jeff Johnson on licensing and intellectual property matters.
