WilmerHale Advises Rudolph Technologies in Merger with Nanometrics

WilmerHale is advising Rudolph Technologies, Inc., a provider of semiconductor process control systems, lithography equipment, and software for wafer fabs and advanced packaging facilities, in its pending all-stock merger of equals transaction with Nanometrics Incorporated, a provider of advanced process control metrology and software analytics.

The WilmerHale corporate team representing Rudolph in the transaction consists of Joseph Conahan, Joseph Minko, Andrew Langworthy, Erin Garrity and Jenny Moore. Also advising on the transaction for WilmerHale are: Scott Kilgore and Ciara Baker (executive compensation); Julie Hogan Rodgers (tax); Paul Jakubowski and Brett Jackson (real estate);  Bonnie Heiple (environmental); Hartmut Schneider, Lauren Ige and Holly Ovington (antitrust); and Jeff Johnson (licensing).
