As a part of the firm’s 2011 Summer Legal Series for Startups, WilmerHale Partner Bob Schwed presented a two-part workshop on raising capital. Discussion topics for the first session held on July 12, 2011 included valuation, debt capitalization and equity capitalization.

This second session was covered topics regarding the risks of raising capital from friends and family, as unaccredited/unsophisticated investors, as well as term sheet provisions, terms of new series of preferred stock, preferred stock purchase agreements and investors’ rights agreements.
