Join us as we kick off a webinar series designed to address a variety of environmental, social and corporate governance (ESG) issues facing companies, boards, executives and investors.

Our initial conversation will focus on the current SEC’s approach to ESG—and how boards are responding to and addressing emerging requirements. Stephanie Avakian leads WilmerHale’s Securities and Financial Services Department and was Director of the SEC’s Division of Enforcement. Meredith Cross is WilmerHale’s leading advisor on corporate disclosure. She previously served as Director of the SEC’s Division of Corporation Finance. A discussion of current trends and hot topics will be moderated by Jamie Gorelick, who leads WilmerHale’s Regulatory Department and has served on five corporate boards over 25 years and was previously Deputy Attorney General of the United States. The hot topics will include how the SEC is likely to approach ESG generally and what the forthcoming disclosure rulemaking is likely to look like, as well as enforcement and examination priorities and how companies should prepare to comply with new obligations.

Topics include:

  • key disclosure requirements under existing regulatory frameworks, and the risks associated with voluntary disclosures and commitments;
  • developments in shareholder engagement and stakeholder activism;
  • investigation and enforcement trends and priorities under new leadership at the Commission and the Enforcement Division; and
  • forthcoming climate disclosure rulemaking and expected disclosure requirements including emissions reporting, as well as insight on future board diversity rulemaking.
