Speaking Engagement

Corporate Governance is intended to increase the accountability of a company and to avoid massive disasters before they occur. This conference will ensure that in-house counsel are prudently directing and controlling the management of their companies. WilmerHale Partners Stephanie Evans and Lillian Brown will present “New Legal Developments in Corporate Governance” with Andrew Stull, Managing Director at Houlihan Lokey, and Joseph Turitz, VP & Associate General Counsel at EchoStar Corporation.

Public (and private) companies and their officers and directors today face increasing responsibilities in critical areas of corporate governance and changing expectations in the marketplace, which contribute to a challenging environment for corporate counsel. This panel will discuss current developments and trends in corporate governance and M&A, with a focus on regulatory developments at the SEC, Delaware corporate case law updates, shareholder activism and the impact of current events on boards. Key topics will include:

  • SEC focus under Chairman Clayton
  • Valuation trends and best practices in M&A
  • Board diversity
  • Board oversight of cybersecurity
  • Role of the board in the #MeToo movement

WilmerHale is also a sponsor of the Association of Corporate Counsel, National Capital Region.
