Ben Fackler, a partner in the firm’s Transactional Department, is an experienced deal advisor with a demonstrated ability to lead complex M&A, transactional finance and governance engagements, and advise boards, founders, innovators and investors in high-stakes situations. Over the course of his career, he has advised on a wide range of transformative transactions totaling more than $250 billion in value, including M&A, buyouts, corporate reorganizations, venture and later-stage private and public markets financings, and other strategic matters.

Specializing in life sciences and deep technology (including AI, fintech and defense technology), Ben regularly supports entrepreneurs and investors in building new businesses and technologies, advising over the full lifecycle of those endeavors. His multidisciplinary background — spanning law, investment banking, principal investment and operating experience — enables Ben to provide integrated, business-oriented advice to boards, management teams, founders and investors across a wide range of strategic situations.

His practice centers on three areas:

  • M&A (both buy- and sell-side) and strategic financing transactions, with a particular focus on the life sciences and deep technology industries. Financing work includes venture and other private and public market financings.
  • Corporate governance, with a focus on corporate control situations. Work includes stockholder activism (defense and fund-side representation), hostile transactions, proxy fights, investor disputes and other contested control situations.
  • Outside general counsel work, including regular board representation, advising on day-to-day corporate, strategic and governance matters.

Before joining the firm, Ben was an equity partner at an international law firm in San Francisco, where his practice encompassed complex M&A, corporate governance and venture capital and emerging company work. Earlier in his career, he served as executive chairman of a fitness technology startup and as a partner and co-portfolio manager at a private investment firm, where he helped establish and lead an event-driven investment strategy, raise capital and serve on the firm's investment committee. He also worked as a senior investment banker at a major financial advisory firm.
