Beyond the financial considerations for a royalty or development financings, companies need to consider the interconnectivity across future strategic financing decisions, legal constraints and accounting treatment. George Shuster and Nathan Moore at WilmerHale, John Cantalupo and Larry Yusuf at Ernst & Young and Ted Breck and Alton Lo at J. Wood Capital Advisors will discuss the go-forward financial, legal and accounting issues that these deals can present, including the consequences of these deals on other debt, equity, and M&A transactions; the relationship between these transactions and market capitalization; the economic and legal implications of these deals in the outer years of their relevance; and the ways that companies can combine these deals as part of an integrated financing strategy.
