M&A shareholder class action lawsuits are on the rise. Plaintiff lawyers are filing them in state courts and federal courts outside Delaware and inside Delaware, resulting in jurisdictional battles and company counsel playing defense on multiple fronts. Typically the case must either be resolved, or go to a preliminary injunction hearing within a few weeks of being filed. Panelists will discuss: how to do expedited discovery; how to get the cases consolidated; how likely are plaintiffs to get an injunction to stop the deal; how much will plaintiffs’ counsel fees be if the case settles.
