Last year on February 10, 2025, sweeping changes to the premerger notification form under the Hart-Scott-Rodino (HSR) Act went into effect. This marked the first major change to the HSR form in more than 40 years, and the revisions included expanded document requirements and new narrative explanations, among other things. Proponents of the rule change argued that it would smooth the merger review process and result in faster clearance for more deals, but some were concerned that it would substantially increase the burden for filers.
