Jeffrey Tolin is a partner in WilmerHale’s Tax Practice, where he advises public and private companies, investors, emerging growth businesses, private equity funds, and venture capital firms on the tax aspects of complex business transactions and strategic initiatives. With more than 25 years of experience, Jeff provides practical, business-oriented counsel on mergers and acquisitions, divestitures, financings, restructurings, joint ventures, complex commercial transactions, long-term tax planning and day-to-day tax matters.
Jeff regularly works with companies throughout their full lifecycle, from formation and growth through liquidity events and strategic exits. He has significant experience counseling clients in the technology and life sciences sectors, as well as in telecommunications, media and automotive. He also advises tax-exempt organizations. His practice includes serving as lead tax counsel on transactions and collaborating closely with corporate, M&A, venture capital and other transactional lawyers to structure transactions, assess risk and develop solutions aligned with clients’ business objectives.
Known for his responsiveness, technical excellence and advisory approach, Jeff helps clients and teams navigate sophisticated tax issues while maintaining a pragmatic commercial focus. He also writes and speaks frequently on international tax topics, including through contributions to New York State Bar Association reports and presentations at international tax conferences.
Prior to joining WilmerHale, Jeff was a partner at another international law firm, where he focused on corporate and international tax matters. He earned his JD and LLM in Taxation from New York University School of Law and his AB in Economics from the University of Chicago.
