As a part of the firm’s 2011 Summer Legal Series for Startups, WilmerHale Partner Bob Schwed presented a workshop on raising capital. Discussion topics included valuation, debt capitalization and equity capitalization.

The second part of this presentation was held on July 26, 2011 and covered topics regarding the risks of raising capital from friends and family, as unaccredited/unsophisticated investors, as well as term sheet provisions, terms of new series of preferred stock, preferred stock purchase agreements and investors’ rights agreements.
