On June 27, 2023, the Federal Trade Commission and the Department of Justice proposed a massive overhaul of the Hart-Scott-Rodino Antitrust Improvements Act (HSR) pre-merger notification form. WilmerHale has created the New HSR Form Working Group, an interdisciplinary group including lawyers with antitrust (federal and state), private equity (PE) and general corporate experience to help our clients efficiently, effectively and quickly address the challenges the proposed new HSR form would create. We intend to provide our perspectives as the proposal moves forward and is implemented, including through additional client memoranda and webinars.

Join members of our New HSR Form Working Group for a webinar on the PE and antitrust implications of the new HSR form.

Topics will include:

  • how to effectively and efficiently prepare for transactions that will be subject to the new HSR form’s demands;
  • substantive antitrust agency areas of focus that are reflected in the new HSR form’s requirements; and
  • strategies for PE dealmaking under the new HSR form regime.

During the webinar, participants will have the opportunity to contribute questions online. CLE credit will be provided.

*CLE credit is not available for those who watch a recording of the webinar.
