Sam Waldon is one of the nation's leading SEC enforcement experts. Drawing on more than 25 years of securities enforcement experience, including service at the highest levels of the Securities and Exchange Commission, he advises public companies, financial institutions, boards, executives and individuals in the most significant SEC investigations, enforcement actions and securities-related crises. His experience gives clients unmatched insight into how the SEC evaluates potential violations, exercises enforcement discretion, and makes the decisions that can determine the outcome of an investigation.

While at the SEC’s Division of Enforcement, Mr. Waldon served in a series of increasingly senior leadership roles, culminating in his service as Acting Director of the Division on two separate occasions during the current administration. In those roles, he worked closely with the Chair and Commissioners on enforcement priorities and strategy and played a central role in the Division's most significant matters. 

Mr. Waldon also previously served as Chief Counsel of the Division of Enforcement, one of the most influential legal positions within the SEC. As Chief Counsel, he advised Enforcement leadership and staff on the most consequential and complex legal issues arising under the federal securities laws. He became a principal authority on the Division's legal interpretations, enforcement policies, procedures and internal decision-making processes. That experience gives clients a rare advantage: counsel from a lawyer who not only understands SEC Enforcement policy and process, but helped shape and apply it. Few practitioners have had a comparable role in shaping and implementing SEC enforcement policy at the national level..
