Investments by high net-worth or "angel" investors are a key source of capital for entrepreneurs and emerging companies. Structuring, documenting and closing an angel investment from term sheet to funding requires deal lawyers to have a solid understanding of current market terms, key deal documentation and the deal process. The panel of experienced lawyers discussed these important topics in the context of today's angel investment community and reviewed popular deal structures, common issues and key provisions of the principal investment documents. The panelists emphasized current practices for structuring and negotiating these documents—whether as company counsel or investor counsel. This program provided tips to help identify and resolve issues that routinely arise in handling and documenting angel investments.
