Ellie Guadiana

Ellie Guadiana represents both sell-side and buy-side clients with respect to trading agreements and transactions, including ISDA documentation, prime brokerage agreements, futures agreements, term commitments, agreements relating to OTC derivatives, clearing documentation, ISDA master agreements, segregated collateral arrangements and master repurchase agreements. Ms. Guadiana's practice includes working with swap dealers to create templates for various counterparty-facing transactions. Recently, Ms. Guadiana negotiated several hundred variation margin credit support agreements for a large broker-dealer client.

She also works closely with the firm's Broker-Dealer Compliance and Regulation Group to assist dealer clients with regulatory issues related to swaps. She has assisted clients in connection with numerous Dodd-Frank Act rulemakings and regularly counsels clients on the implications of and compliance with the Dodd-Frank Act and EMIR. In connection with this advice, she has designed comprehensive compliance policies and procedures and counseled clients during their implementation. She recently represented a European client in registering as a derivatives clearing organization with the CFTC. 

Additionally, Ms. Guadiana also advises corporate clients with respect to all types of derivatives transactions. This includes negotiating ISDA master agreements and interest rate swaps in connection with credit facilities, providing advice regarding end-user market participation, negotiating various F/X arrangements and negotiating more bespoke equity derivatives transactions, including call spreads, accelerated share repurchases and forward share repurchases and sales.

Ms. Guadiana also works with the Transactional Department in structuring, negotiating and closing debt financing transactions and restructurings. Ms. Guadiana represents US and global clients as issuers of and investors in debt instruments in a broad variety of debt financing and restructuring transactions. In particular, she works with multiple parties to close syndicated secured and unsecured credit facilities. Lastly, Ms. Guadiana represents clients in a range of other commercial transactions, including derivatives transactions, receivables sales, commercial law matters, letters of credits and other credit support arrangements.


Prior to joining the firm, Ms. Guadiana was a summer associate at an international investment bank in New York. While there, she negotiated loan and swap agreements, including ISDA master agreements and credit support annexes, with syndicate lenders, hedge providers and borrowers.

During the early months of 2011, Ms. Guadiana was a legal intern with Forbes Media, LLC. As an intern, she reviewed and interpreted various agreements relating to traditional and new media platforms, including online advertising services agreements and content license/intellectual property agreements.

In 2010, she was a legal intern with the Department of Advocates of the New York City Police Department.
