ACC National Capital Region Corporate Law Forum: Corporate Governance 2017 - In-House Counsel's Critical Role

Effective corporate governance involves much more than just charters and corporate formalities. Corporate governance encompasses a wide range of activities to ensure that corporate decisions are made and implemented so as to achieve corporate objectives and to ensure ethical behavior and legal compliance. An effective in-house counsel is a critical resource, providing governance support to the Board and management, as well as external stakeholders. This panel will provide insight and guidance for both private and public company in-house counsel about both “everyday” corporate governance matters such as risk management and compliance and “extraordinary” situations such as succession planning, internal investigations and crisis management. The panel will focus on the skills in-house counsel need to provide strong governance support and also discuss how best to use outside counsel in the governance function, especially in extraordinary situations.
