Since 2004, we have served as counsel in more than 500 public offerings and Rule 144A placements raising a total of approximately $200 billion. 

In 2015, we advised clients throughout the United States and Europe on more than 75 M&A transactions providing guidance in areas including corporate, securities, antitrust and tax. Since 2004, we have participated in more than 1,200 mergers and acquisitions with a total value in excess of $500 billion, ranging from sales of VC-backed companies to multibillion-dollar global mergers. Our experience ranges from public-public M&A transactions and the related disclosure and fiduciary duty issues to the unique issues presented by acquisitions of financial sponsor-backed private companies. We also advise clients on hostile transactions and activist investors, and represent investment banks serving as financial advisors in M&A transactions.

Examples of our recent representations include the following:

  • American Superconductor: WilmerHale has acted as long-standing counsel to AMSC, and has advised the Company in connection with several public offerings of common stock. We also have assisted the Company in connection with several corporate mergers and acquisitions, as well as intellectual property and licensing issues
  • Casella: As long-time counsel to Casella Waste Systems, Inc., a publicly-traded waste management company, we have assisted in connection with numerous acquisition, financing and partnering transactions. We recently assisted them in connection with the refinancing of their debt, including the issuance under Rule 144A of $180 million in senior second lien bonds and a renegotiation of their senior secured credit facility in the amount of $307.5 million. We also assisted them in the permitting of their municipal solid waste landfill located in Southbridge, MA.
  • We have advised a cellulosic ethanol manufacturer in connection with numerous equity financing rounds (which raised in excess of $100 million of equity), and in negotiating major equipment purchase agreements and a construction management agreement
  • Khosla Ventures: Khosla Ventures, founded by Vinod Khosla, is arguably the premier venture capital firm focused on the advancement of clean technology. Mr. Khosla was one of the first VCs to focus on "clean technology” and Khosla Ventures looks to WilmerHale to help counsel both it and many of its portfolio companies. In connection this work, we have represented Khosla in its financings of AltaRock, Amyris, Calera, LS9, NanoH2O, Nordic Windpower, Stion and many other companies.
  • Ocean Power Technologies: We represented Ocean Power Technologies in its initial public offering on the AIM market of the London Stock Exchange and its initial public offering in the United States on the Nasdaq market.
