The attorneys in our full-service Fund Formation Practice combine deep market knowledge, strong relationships with institutional limited partners, and experience in corporate, tax, securities and ERISA law to provide private equity and venture capital clients with excellent business insights and solutions. We assist clients at every step of the fund-raising process, including preparing offering materials, negotiating with prospective investors, preparing partnership and LLC agreements, advising on and documenting management and compensation arrangements, and closing fund formation transactions. Our attorneys also routinely advise on negotiations with institutional investors, family offices and asset allocators, and help venture capital fund clients manage clawbacks, fund size reductions, transparency of fund data and performance information, and separation arrangements.

  • counseling a leading private equity and venture capital firm in the formation of funds to invest throughout the world;
  • representing a Zurich-based asset manager in US regulatory compliance matters for its sponsored funds, as well as in the formation of investment vehicles and the closing of numerous direct and secondary investments;
