How Long Does the Overall SEC Review Process Last?

Based on our review of all US IPOs completed between 2007 and 2011, the median time between initial Form S-1 filing and effectiveness was 112 calendar days. The 25th percentile was 91 calendar days (meaning one out of four IPOs required less time) and the 75th percentile was 173.5 calendar days (meaning one out of four IPOs required more time). This data reflects total elapsed time between filing and effectiveness, including delays due to market conditions and other reasons that may be unrelated to SEC review.
