WilmerHale has extensive experience in the field of banking and capital market law. Our German bank and capital markets team works closely together with our colleagues in the United States and London. We focus on:

  • Advising companies listed on the stock exchange, financial service institutions and investment companies to ensure compliance with regulations stipulated by capital market law and supervisory authorities–also in light of relevant American provisions (such as the Sarbanes-Oxley Act).
  • Representing companies in connection with national and international transactions on the capital market, particularly with buyouts and takeovers, for which we assist with publicly required bids or buyout offers from the perspective of the target company and the bidders.
  • Advising companies in planning and implementing IPOs, secondary offerings and de-listings on national and international stock market positions.
  • Assisting foreign credit and financial service institutions in entering the German market.

In addition, we advise our clients in internal investigations, which are gaining importance in Germany. These consist of the review of internal processes at companies in order to improve company transparency and are particularly suited for larger companies that benefit from having complex and often liability-relevant circumstances investigated by professional and independent third parties. The results of the investigations can be drawn upon not only for preparing for any proceedings before financial supervisory authorities BaFin (Bundesanstalt für Finanzdienstleistungsaufsicht, German Federal Body for Financial Services Supervision ), SEC (US Securities and Exchange Commission) and FCA (Financial Conduct Authority), but also to optimize internal company procedures.
