We have wide-ranging experience representing emerging companies, industry leaders and major investment banks in public offerings of equity and debt securities in US and international markets. These offerings are frequently complex and time-sensitive, and demand sophisticated counsel for successful execution. We have led the eastern US in handling IPOs—as both issuer and underwriter counsel—for more than a decade. In 2011, we handled more than 30 public offerings and Rule 144A placements for leading companies in life sciences, technology, financial services, communications and other industries. Since 2005, we have served as counsel in more than 250 public offerings and Rule 144A placements raising over $100 billion. We recently:
- Served as company counsel in the IPOs of Blackboard, Eyetech Pharmaceuticals, First Marblehead, Idenix Pharmaceuticals, NitroMed and Open Solutions
- Represented CIT Group in its $4.6 billion IPO, among the largest IPOs in history
- Handled Rule 144A placements of debt and convertible debt securities for numerous clients, including Akamai Technologies ($175 million), Amdocs ($450 million), AtheroGenics ($200 million), Keane ($150 million), Red Hat ($600 million), Sepracor ($1.25 billion) and Thermo Electron ($250 million)
- Advised clients on various follow-on offerings, including those of First Marblehead ($496 million), LTX ($133 million), MKS Instruments ($115 million), Staples ($253 million) and The Medicines Company ($98 million), Transkaryotic Therapies ($90 million) and Yankee Candle ($217 million)
- Acted as underwriters’ counsel in the IPOs of Acusphere, Barrier Therapeutics, CapitalSource, GTx, Printcafe Software and SSA Global Technologies and in follow-on offerings by Cubist Pharmaceuticals, EPIX Medical, Fisher Scientific, Helix Technology and Timberland
