Combining our knowledge of corporate, tax, securities, intellectual property, litigation and ERISA law, we have successfully handled numerous fund formations, mezzanine and later stage investments, rollups, leveraged buyouts, management buyouts, private investments in public equity (PIPEs) financings, going private transactions and recapitalizations. In recent private equity transactions, we:
- Represented investors in the formation of a $700 million fund organized to invest in the domestic and international energy sector
- Acted as issuer counsel to a company formed and controlled by major private equity funds in its $1.7 billion acquisition of rural local exchange company (RLEC) assets
- Advised investors in a $475 million complex private equity investment in a public high technology company in connection with its restructuring
- Handled a $208 million management buyout of a financial services company
