Combining our knowledge of corporate, tax, securities and ERISA law, we assist our venture and buyout fund clients throughout their fund-raising processes, including the preparation of offering materials, negotiation with prospective investors, preparation of partnership and LLC agreements, advising on and documenting management and compensation arrangements, and closing fund formation transactions. We also advise our fund clients on complex issues arising under US and international securities and tax laws and ERISA.
We have provided guidance to our venture capital fund clients in addressing the many issues they have confronted in recent years—managing clawbacks, fund size reductions, transparency of fund data and performance information, and separation arrangements. The extensive resources of our corporate, litigation, real estate, labor, intellectual property, private client, tax and other departments are available to our fund clients as the need arises in the conduct of their investment activities and internal management and administration.
