With significant experience handling communications and other technology-related issues, our lawyers advise on and execute major industry transactions efficiently and effectively. In addition, our “in-house” experience allows us to understand the practical business issues that drive business deals. Our transactional practice offers a full range of corporate counseling and services, including performing and advising on due diligence, negotiating to achieve the results our clients seek and pursuing the necessary antitrust and other regulatory clearances.

In recent deal-related matters, we:

  • Represented a Bell company on regulatory and policy issues in a high profile transaction
  • Helped privately held telecom and wireless clients raise more than $2 billion through more than 100 venture capital financings since 1999
  • Advised public and private telecom and wireless clients in more than 100 M&A transactions valued in excess of $20 billion in the past five years
  • Served as issuer or underwriter counsel in more than 20 public offerings and Rule 144A placements by telecom and wireless companies raising more than $5 billion in the past five years
  • Advised a European mobile operator on infrastructure sharing and national roaming for third-generation mobile networks
  • Represented a wireless operator in the purchase of paging licenses and associated wireless telephone numbers and in the sale of PCS spectrum licenses
  • Represented a Bell company in joint ventures with other operators and in evaluating wireless opportunities in Mexico and elsewhere
  • Represented a Bell company in numerous bankruptcy proceedings and related transactions, including the MCI WorldCom reorganization
  • Negotiated the purchase of lite and dark fiber IRUs on behalf of a number of major users
  • Represented a major user in the purchase of satellite capacity contracts
  • Represented a new market entrant in multibillion-dollar purchases for rural local exchange operations
  • Led a multiparty negotiation on behalf of a major wireless operator to achieve a global settlement of issues arising out of the FCC's inability to deliver PCS licenses that it restructured in 2001
  • Represented radio and television broadcasters in obtaining FCC consents to acquire additional stations, including defending against challenges based on the FCC's media ownership rules
  • Represented a major European operator in its successful acquisition of one of the US national wireless operators
  • Assisted a wireless operator subject to "small business" FCC ownership restrictions in its preparations for an initial public offering
